LLP Annual Filing — Form 11, Form 8, Deadlines & Penalty

Every Limited Liability Partnership (LLP) registered under the LLP Act 2008 must file annual returns and financial statements with the Ministry of Corporate Affairs (MCA) every year — regardless of turnover or activity (even NIL returns are mandatory). Failure to file attracts substantial late fees that accumulate daily.

Mandatory Annual Filings for LLP

1. Form 11 — Annual Return

2. Form 8 — Statement of Account & Solvency

3. Income Tax Return (ITR-5)

  • Content: Details of partners, their capital contributions, and any changes during the year
  • Due date: May 30 every year (for the financial year ending March 31)
  • Late fee: ₹100 per day until filing (no maximum — keeps accumulating!)
  • Content: Financial statements — balance sheet, profit & loss statement, declaration of solvency
  • Due date: October 30 every year
  • Audit required: If LLP turnover > ₹40 lakh OR contribution > ₹25 lakh
  • Late fee: ₹100 per day
  • Due date: July 31 (if no audit) or October 31 (if audit required)
  • LLPs pay tax at flat 30% on income

Who Signs and Files LLP Returns?

  • Form 11 and Form 8 must be digitally signed by at least 2 designated partners using their DSC
  • If LLP has only 1 designated partner — signed by that partner
  • All designated partners must have active DSC and DIN for filing

Late Fees — Why Filing on Time Matters

The late fee for LLP forms is ₹100 per day — with NO maximum cap. This means:

Many LLPs that don't file for 2–3 years accumulate ₹2–4 lakh in late fees. Filing on time costs ₹5,000–₹15,000 professionally; filing 3 years late with penalties costs ₹3–5 lakh or more.

  • 1 month late = ₹3,000
  • 6 months late = ₹18,000
  • 1 year late = ₹36,500 per form
  • 3 years late = ₹1,09,500 per form

Other LLP Compliance Requirements

  • DIR-3 KYC: All designated partners must file KYC annually (due date: September 30)
  • DPIN: Ensure DPIN of all partners is active
  • GST filing: Monthly/quarterly GSTR-1 and GSTR-3B if GST registered
  • TDS filing: If LLP deducts TDS from employee salaries or vendor payments

Conclusion

LLP compliance is straightforward but the penalty for non-filing is severe. Biswa Corporate Solutions handles complete LLP annual compliance — Form 11, Form 8, ITR-5, partner KYC — with advance reminders so you never miss a deadline.
